By accessing or using Adbridge ("the Service", "Platform", or "we/us/our"), operated by Adbridge Inc. ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect.
Adbridge provides a business-to-business-to-creator (B2B2X) platform that enables:
The Service includes contract management, webhook-based conversion tracking, attribution analytics, and payout processing.
Payouts: Adbridge calculates amounts owed to Creators and initiates payouts on a Brand's instruction through third-party payment providers. Depending on the payout method selected for a given Creator, funds are disbursed by Stripe or by Gusto, each of which maintains its own agreement with the recipient. Adbridge also supports exporting payout data for Brands that prefer to pay Creators outside the Service. See Section 7.
To use the Service, you must:
Brand Accounts: Must represent a legitimate business entity and provide valid business information including legal entity name and contact details.
Creator Accounts: Must provide accurate identity and payment information for payout purposes and comply with applicable tax reporting requirements.
As a Brand user, you agree to:
As a Creator user, you agree to:
Brands using webhook integrations must adhere to the following requirements:
Prohibited Data: Apart from the customer details a store platform, such as Shopify, includes with each order, you must NOT transmit the following through webhooks:
Enforcement: If prohibited data is transmitted, Adbridge reserves the right to:
Adbridge is not responsible for any liability arising from your transmission of prohibited data, and you agree to indemnify us against any claims resulting from such violations.
The Platform facilitates the management of agreements between Brands and Creators. You acknowledge that:
Contract Storage: Uploaded contract files are stored securely with access controls. Only authorized parties to the deal may access contract documents. See our Data Retention Policy for storage duration details.
Platform Fees: Adbridge may charge fees for use of the Service, including:
Current pricing is displayed in your account dashboard. We may modify fees with at least 30 days advance notice.
Trial: A new brand workspace begins on a Trial that carries no subscription charge, requires no payment method, and does not renew or convert to a paid plan on its own. Paid subscription billing begins only when you and Adbridge set up a plan together. The processing fee on creator payouts described above still applies during a Trial.
Subscriptions and Automatic Renewal: Once you are on a paid plan, it renews automatically at the end of each billing period at the then-current price, and your payment method is charged automatically, until you cancel. Billing is handled by Stripe.
Cancellation: A workspace owner can stop a paid plan from renewing, from Settings, under Billing. Cancellation takes effect at the end of the current billing period and does nothing before then: your plan keeps every feature it has, and the fees for that period remain payable. You can reverse it from the same page at any point before that date. We do not end your access early when you cancel. One exception: if your workspace is inside an agreed term that runs to a fixed end date, it cannot be ended from that page while the term runs, and your Adbridge representative can talk through ending the agreement.
After a cancellation takes effect: Nothing is deleted. Your deals, creators, contracts and reporting remain as they are, you can still sign in, and you can still view and pay invoices and pay creators what they have already earned. A cancellation never strands money a creator is owed. Running campaigns and creator work pause, while conversions continue to be recorded against your existing links so your records stay unbroken. To start again after the term has ended, contact your Adbridge representative.
Refunds: Subscription fees are charged in advance for each billing period. Cancelling does not refund the period you are already in. You keep the access you paid for until it ends.
If you move to an Enterprise agreement partway through a billing period, the unused portion of what you have already paid for that period is refunded to your payment method, calculated by the share of the period remaining and never more than you paid. If you move to a plan that costs less, the difference becomes credit on your account rather than a return to your payment method.
Processing fees are charged on creator payouts as they are made. If a payout is later reversed, the fee charged on it is credited against the fees you owe next rather than refunded separately, and any credit larger than the fees owed carries forward. We may issue a refund or credit outside these terms at our discretion, including where we have made a billing error.
Taxes: Fees are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your use of the Service, other than taxes on our net income.
Payout Processing: Adbridge calculates payout amounts from conversion and deal data and, on a Brand's instruction, initiates disbursement to Creators through third-party payment providers. Payouts are made either through Stripe or through Gusto, depending on the method configured for the Creator. Brands may instead export payout data and pay Creators outside the Service.
Funding and Responsibility: Brands remain responsible for funding payouts and for the accuracy of the deal terms, rates, and conversion data from which payout amounts are calculated. Creators must complete any onboarding, identity, and tax requirements imposed by the applicable payment provider before that provider can disburse funds. Adbridge is not responsible for delays, holds, or rejections imposed by a payment provider.
Marking Payouts Paid: Where a payout is recorded as paid based on your confirmation rather than confirmation from a payment provider, that record reflects your attestation and is not provider-verified settlement.
Adbridge IP: The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by Adbridge Inc. and protected by copyright, trademark, and other intellectual property laws.
User Content: You retain ownership of content you upload (contracts, campaign materials, etc.). By uploading content, you grant Adbridge a limited license to store, process, and display such content as necessary to provide the Service.
Feedback: Any suggestions, ideas, or feedback you provide about the Service may be used by Adbridge without obligation to you.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
For Brand accounts processing customer data through our webhooks, our Data Processing Addendum governs our role as a data processor acting on your behalf.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Service Changes: Features may change or be removed, and the Service may experience downtime. Except where we have agreed to a service level commitment with you in a separate written agreement, we do not offer a contractual uptime guarantee. We recommend maintaining your own records of deals, conversions, and payouts.
Adbridge does not guarantee the accuracy of conversion attribution, payout calculations, or analytics data, which depend on data transmitted by you and by third-party platforms. You are responsible for verifying data accuracy for your business purposes before relying on it to pay Creators or to meet tax or reporting obligations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Adbridge has been advised of the possibility of such damages.
Some jurisdictions do not allow limitation of implied warranties or exclusion of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Adbridge Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
By You: You may deactivate your account at any time through your account settings, subject to resolving any open obligations such as active campaigns, active deals, or unpaid payouts. Deactivation blocks sign-in and ends active sessions; it is reversible and does not by itself delete your data. To request deletion of personal data beyond what deactivation retains, contact us at legal@adbridge.com. Upon deactivation or termination, you remain responsible for any outstanding obligations.
By Adbridge: We may suspend or terminate your account immediately, without prior notice, if:
Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. See our Data Retention Policy for details.
Informal Resolution: Before initiating formal proceedings, you agree to contact us at legal@adbridge.com and attempt to resolve any dispute informally for at least 30 days.
Binding Arbitration: If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Stowe, Vermont.
Class Action Waiver: YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Vermont.
Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, Data Processing Addendum, and Data Retention Policy, constitute the entire agreement between you and Adbridge.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, or government actions.
Survival: Sections concerning fees already incurred, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and these general provisions survive termination of these Terms.
No Third-Party Beneficiaries: These Terms do not create any rights in favor of any person or entity other than you and Adbridge.
Export Controls and Sanctions: You represent that you are not located in, and are not a national of or controlled by, any country or party subject to United States sanctions or export restrictions, and that you will not use the Service in violation of applicable export control or sanctions laws.
Notices: We may provide notices to you by email to the address on your account or through the Service. You may send notices to us at the address in Section 18.
